Terms of Service

Welcome to Major Scale Technology. These Terms of Service ("Terms") constitute a binding agreement between Major Scale Technology Solutions LLC ("we," "us," or "our") and you ("Client" or "User"). By accessing our website, using our Client Portal, or engaging our services, you agree to comply with these Terms.

1. Services

We provide web development and IT infrastructure services. Specific deliverables, timelines, and costs for client projects are defined in separate project proposals or Statements of Work (SOW), which supersede these general terms where conflicts exist.

2. Intellectual Property & Ownership

Our ownership structure depends on the specific service tier you have purchased. Unless explicitly stated otherwise in a separate project contract, the following rules apply:

• Subscription & Managed Models (Lease): If you are subscribed to a "Managed Website Plan" or similar all-inclusive service where you have not paid an explicit "Custom Design & Development" fee to purchase the intellectual property rights, Major Scale Technology Solutions LLC retains exclusive ownership of all underlying code, design systems, and software. You are granted a non-exclusive, non-transferable license to use the website while your subscription is active. You maintain full ownership of your own proprietary content (text, images, branding assets).
• Upfront Design & Development (Ownership): If you have paid a full upfront project fee for "Custom Web Development," you own the final deliverables (specific codebase) upon receipt of full payment. However, Major Scale Technology Solutions LLC retains the right to reuse generic code snippets, libraries, and tools developed during the project for other clients.

3. Payments & Billing

We use Stripe, a third-party payment processor, to handle secure transactions. By making a payment through our platform:

• You agree to provide current, complete, and accurate billing information.
• You authorize us and Stripe to charge your chosen payment method for the agreed-upon amounts.
• We do not store your full credit card details on our servers; this data is securely managed by Stripe subject to their own privacy policies.

5. Client Portal & Authentication

Access to certain features requires account authentication via third parties (Google, Microsoft) or Magic Link (Email). You are responsible for maintaining the security of your email account to prevent unauthorized access. We reserve the right to suspend accounts that exhibit suspicious activity or violate these terms.

6. User Representations & Compliance

By using our Services, you represent and warrant that:

• Legal Authority: You have the legal power and authority to agree to these Terms.
• Compliance with Laws: Your business operations, and the content you provide for the website, comply with all applicable laws, regulations, and licensing requirements in your jurisdiction.
• Accuracy: You are solely responsible for the accuracy and legality of the information you publish. Major Scale Technology Solutions LLC does not verify, strictly or otherwise, the licensing status or legal compliance of its clients.

7. Indemnification

You agree to defend, indemnify, and hold harmless Major Scale Technology Solutions LLC, its officers, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from:

1. Your use of and access to the Service;
2. Your violation of any term of these Terms;
3. Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
4. Any claim that your Content or business operations caused damage to a third party or violated local, state, or federal laws (including failure to obtain necessary permits or licenses).

8. Governing Law

These Terms shall be governed by and defined following the laws of the State of New York. We both irrevocably consent that the courts of New York shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.

9. Service Tiers & Cancellation

To ensure clarity on ownership and deliverables, we categorize our recurring services into two distinct tiers. The specific tier applies based on the line item description in your invoice or Stripe subscription.

Tier A: Managed Website Plans (Leased Assets)

Includes: Products labeled Managed Website Plan, All-in-One Site, or similar "Site-as-a-Service" subscriptions.

• Nature of Service: You acknowledge that this is a subscription-based digital service. Major Scale Technology Solutions LLC retains exclusive ownership of the underlying code, project architecture, and deployment pipeline.
• Cancellation: You may cancel at any time with 30 days written notice. Upon cancellation, the public-facing website will be taken offline. The source code will not be released to you unless a separate "Buyout Fee" (determined by us) is paid.

Tier B: Website Maintenance & Support (Owned Assets)

Includes: Products labeled Website Maintenance, Hosting, Care Plans, Support Retainers, or similar "Maintenance & Support" services.

• Nature of Service: This service covers the hosting, security, and maintenance of a website where the Client has already paid for "Custom Web Development" (as defined in Section 2).
• Cancellation: You may cancel at any time with 30 days written notice. Since you own the code, you may request a transfer of the repository and assets upon cancellation at no additional cost, provided your account is in good standing.

General Terms for All Tiers:

• Payment & Suspension: Services are billed on a recurring monthly or annual basis. Failure to pay an invoice within 14 days of the due date may result in the immediate suspension of your website and services.
• Third-Party Infrastructure: We utilize industry-standard providers (e.g., AWS, Vercel, Neon) to host your services. While we take every measure to ensure uptime, we cannot guarantee 100% availability and are not liable for outages caused by these third-party infrastructure providers.
